General Terms and Conditions of Sale, Lease, and Exchange

Effective Date: September 12, 2025
Applies To: Aero-Shield Capital, Inc. and its affiliated entities (“Aero-Shield”).

1. Definitions

  • Customer: The purchaser, lessee, or exchange counterparty identified in the relevant invoice or contract.
  • Goods: Any and all tangible products sold, leased, or exchanged by Aero-Shield to Customer.
  • Aero-Shield Parties: Aero-Shield Capital, Inc., its affiliates, officers, directors, employees, and agents.

2. Applicability

These Terms exclusively govern all sales, leases, and exchanges of Goods by Aero-Shield. Any conflicting or additional terms proposed by Customer are expressly rejected unless agreed in writing by an authorized officer of Aero-Shield.

3. Compliance with Law; Export

Customer shall comply with all applicable laws, including U.S. federal, state, and international regulations concerning the purchase, use, resale, or distribution of Goods.

4. Title and Risk of Loss

Title and risk of loss pass to Customer upon delivery to Customer, its agent, or its designated carrier. Aero-Shield bears no responsibility for loss or damage once Goods have been delivered to the Customer or carrier.

5. Delivery

Goods shall be delivered in accordance with the shipping terms specified in the invoice. Aero-Shield may make partial shipments without liability.

6. Taxes

All applicable taxes are the sole responsibility of Customer. Customer shall indemnify Aero-Shield from any tax claims or liabilities.

7. Limitation of Liability

To the fullest extent permitted by law:
  • Aero-Shield shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising from or related to the sale, lease, exchange, or use of Goods.
  • Aero-Shield’s total liability, if any, shall not exceed the amount actually paid by Customer for the specific Goods at issue.
  • Customer assumes full responsibility for use, storage, handling, and resale of Goods.

8. Payment Terms

Payment is due as specified on invoice. Interest, collection costs, and attorneys’ fees may be charged for late or non- payment.

9. Shipping Terms

Shipping and handling charges shall be billed separately. Risk of loss transfers at delivery per Section 4.

10. Warranties and Disclaimer of Warranties

  • Aero-Shield does not provide any direct warranty, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
  • Customer acknowledges that Aero-Shield makes no representation or warranty as to Goods, except as to title.
  • Aero-Shield will, as a courtesy, assist Customer in pursuing warranty claims with the last certifying agency (e.g., MRO, OEM, or repair station) where applicable.
  • Under no circumstances shall Aero-Shield absorb or assume liability for warranty claims.

11. Return Policy

No Goods may be returned without Aero-Shield’s prior written authorization. Returns are limited to cases where the last certifying agency agrees to accept Goods back under its own policies.

12. Disputes

These Terms are governed by the laws of the State of Illinois. Jurisdiction shall lie in federal or state courts in Chicago, Illinois.

13. Indemnification

Customer agrees to defend, indemnify, and hold harmless Aero-Shield and the Aero-Shield Parties from all claims, losses, damages, liabilities, and expenses arising from Customer’s purchase, lease, exchange, use, or resale of Goods.

14. Confidentiality

All proprietary information provided by Aero-Shield must remain confidential.

15. Force Majeure

Aero-Shield is not liable for delays or failure to perform due to events beyond its reasonable control.
